GameStop warrants · GME WS

The warrant, explained.$32 or nothing.

GameStop gave shareholders free warrants last October. Each one is a right to buy one share for $32 in cash, and every unexercised one dies on 30 October at 5:00 PM New York time. Below is the whole mechanism: what a warrant is, who gains, who pays, and what happens in each ending.

Expiry: Oct 30, 5:00 PM New York

The basics

Share vs warrant

A share is a piece of the company. A warrant is a coupon to buy one piece at a fixed price, until a fixed date.

The mechanics

From free coupon to new shares

One date decides everything. The price of GME against $32 at 5:00 PM on Oct 30 sends the warrant down one of three paths.

SHAREHOLDERS 1 warrant per 10 shares record date Oct 3, 2025 NOTEHOLDERS 2030 + 2032 converts warrants as-converted Oct 7 2025 free WARRANT HOLDER 1 warrant = right to buy 1 share at $32 cash. No upside left EXERCISE holder pays $32 cash per warrant, keeps the gap $32 cash NOTHING MOVES no cash in no new shares no dilution SAME AS SHARES a sensible holder buys GME on the market instead GAMESTOP takes the $32 issues 1 new share per warrant new shares IF EVERY WARRANT IS EXERCISED ≈$1.9B cash in · ≈59M new shares share count +11.7% your slice, if you did not exercise, −10.5% WHO PAYS? Holders without warrants. New shares sell below market
One date, three paths. Only the green path moves cash and creates shares. Share counts use 504.5M shares outstanding, from the cover of GameStop's Q2 10-Q (as of Sept 3, 2026).
ISSUE

Free, and already done

Warrants went out Oct 7, 2025 as a dividend. No payment, no action. Convertible noteholders got them too, on an as-converted basis, in place of a change to their conversion rate.

HOLD

A right, not a duty

Holders can sell the warrant, hold it, or exercise it. Selling the warrant means giving up the right to the shares. It can trade on the NYSE until Oct 29.

EXPIRY

One price decides

At 5:00 PM New York on Oct 30, GME above $32 means the warrant has value. At or below $32 it has none, because the same share is cheaper on the open market.

SETTLE

Cash in, shares out

Exercise is cash only. GameStop gets $32 per warrant and prints one new share. The company raises money and the share count grows. Everyone who did not exercise owns a smaller slice.

The payoff

What one warrant is worth on Oct 30

Flat at zero until $32, then it climbs one dollar for every dollar GME rises. That kink at $32 is the whole product.

$0 $5 $10 $15 $0 $10 $20 $30 $40 $50 GME price at expiry value per warrant $32 strike GME now $26.44 WORTHLESS ZONE EXERCISE ZONE pay $32, keep the gap $40 → +$8
Payoff per warrant at expiry, before what the holder paid for it. Someone who bought GME WS at a premium needs the gap above $32 to cover that cost before they profit.
GME at expiryWarrantCash inNew sharesValue / share after
$20DEAD$00$20.00
$26.44 (now)DEAD$00$26.44
$32≈$0≈$0≈0≈$32.00
$40+$8≈$1.89B≈59.1M≈$39.16 (−2.1%)
$60+$28≈$1.89B≈59.1M≈$57.06 (−4.9%)

Last column is simple theory: the old equity value plus the $32 cash, spread over the larger share count. It assumes every warrant is exercised and ignores how the market reacts. In real life the stock moves, which is why warrant holders and shareholders argue about it.

Who wins

Who benefits from what

The same event is good news for some people and bad news for others. The exercise path moves value from one group to another. The expiry path moves nothing.

Warrant holder

WINSGME above $32. Profit is the price minus $32, minus whatever they paid for the warrant.
LOSESGME at or below $32. The whole warrant goes to zero on Oct 30.

Shareholder, no warrants

WINSWarrants expire. No new shares, no dilution, no value handed over.
LOSESMass exercise. New shares are sold at $32 while the stock is higher. Their slice shrinks by about 10.5% if every warrant is exercised.

GameStop

WINSCash at a premium. Up to about $1.9B at $32 a share, above where the stock trades today.
LOSESA big run. If GME trades far above $32, the company sold new shares cheaply.

Convertible noteholder

WINSSame payoff as anyone. They got warrants on the same terms, instead of a conversion-rate adjustment.
LOSESGME below $32. Their warrants die like everyone else's.

Reality check from GameStop's filings: only about 9,000 of roughly 59 million warrants have been exercised in the past year. With GME under $32 the whole time, paying $32 for a share that costs less on the open market made no sense.

The clock

The dates that matter

If you hold warrants, these are the mechanics from GameStop's Oct 19 filing. Your broker may set earlier cutoffs, so ask them directly.
